OioVape Terms & Conditions

Welcome to OioVape! Please read these Terms & Conditions (the “Terms”) carefully before accessing or using the website oiovape.com (the “Site”) or purchasing any products from Oiovape (the “Provider”). By accessing, using the Site, or placing an order with us, you (the “Customer”) agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms in their entirety, you must not use the Site or purchase any of our products. Placing an order with Oiovape constitutes your acceptance of these Terms.

1. General Terms

These Terms apply to all contracts concluded between the Customer and OioVape through the Site. Any conflicting or supplementary terms proposed by the Customer are expressly rejected unless explicitly agreed upon in writing by OioVape.
For the purpose of these Terms:
  • “Consumer” means a natural person who enters into a legal transaction for purposes unrelated to their trade, business, or profession.
  • “Business Customer” means any natural or legal person, or legal entity, acting in the course of their commercial or independent professional activity when concluding a legal transaction with OioVape.

2. Formation of Contract

2.1 Subject of the Contract

The subject of any contract between OioVape and the Customer is the sale of the products displayed on the Site, as described in the product listings at the time of the Customer’s order.

2.2 Order Process

The listing of products on the Site constitutes a binding offer by OioVape to enter into a purchase contract under the terms specified in the product descriptions. To accept this offer, the Customer must complete the following steps:
  1. Add the desired products to the shopping cart;
  2. Proceed to checkout via the relevant button in the Site’s navigation menu;
  3. Provide accurate personal information, payment details, and delivery information;
  4. Review the order summary for accuracy and confirm acceptance of the offer by clicking buttons such as “Submit Order,” “Buy Now,” or similar.
If an instant payment method (e.g., PayPal, credit/debit card payment, etc.) is used, the Customer will be redirected to the payment provider’s platform for payment processing, and subsequently back to the Site for final confirmation. A binding contract is formed once the payment is completed and the Customer receives an order confirmation (via email or Site notification).
The Customer is solely responsible for ensuring the accuracy of all information provided during the order process, particularly email address and delivery details, to ensure successful delivery of order-related communications and products.

3. International Orders

OioVape is based in Hong Kong and operates worldwide. Customers located outside Hong Kong are considered International Customers. Before placing an order, International Customers must familiarize themselves with and comply with all applicable laws, regulations, and restrictions in their country/region regarding the purchase, importation, and use of vaping products. 4. Customizable Products (If Applicable)

If the Customer orders products requiring customization, the Customer must provide all necessary information, text, or files through the Site’s order system or via email within 24 hours of completing the purchase. The Customer warrants that all submitted content complies with applicable laws and does not infringe upon any third-party rights (including but not limited to copyrights, trademarks, or privacy rights).
OioVape does not verify the accuracy, legality, or completeness of customer-provided customization materials and disclaims all liability for any errors, delays, or damages resulting from incorrect or non-compliant submissions. The Customer agrees to indemnify OioVape against any claims, losses, or expenses arising from infringements caused by the Customer’s submitted content.

5. Retention of Ownership

Ownership of the products remains with OioVape until full payment of the purchase price (including any applicable taxes, shipping fees, and other charges) is received. The Customer may only exercise a right of retention if it relates directly to the contractual relationship with OioVape.

6. Warranty and Liability

6.1 Warranty

For Consumers, statutory warranty rights under the applicable laws of the Customer’s country of residence shall apply. If any product characteristics deviate from the agreed or advertised specifications, such deviations must have been explicitly communicated to the Customer before purchase and documented in the contract.
All products and the Site are provided “as is” without any express or implied warranties, except for the statutory warranty rights of Consumers. OioVape excludes all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. OioVape does not guarantee that the Site will be error-free, uninterrupted, or free from viruses or other harmful components, nor does it warrant the accuracy, completeness, or timeliness of any information on the Site.

6.2 Liability Limitation

OioVape shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages (including but not limited to loss of profits, data, or business opportunities) arising from the use or inability to use the Site, the products, or any information obtained from the Site, even if OioVape has been advised of the possibility of such damages. This limitation of liability shall not apply to damages caused by intentional misconduct or gross negligence of OioVape, or to the extent mandatory laws prohibit such limitation.
Consumers are advised to inspect the products upon receipt for completeness, visible defects, or transportation damage. Promptly notifying OioVape and the carrier of any issues will facilitate swift resolution and will not affect the Consumer’s statutory warranty rights.

7. Age Restrictions

OioVape strictly adheres to all statutory age restrictions for vaping products and products subject to youth protection laws. By placing an order, the Customer confirms that they meet the minimum legal age required to purchase and use the products in their country/region, and that all information provided is accurate and truthful.
For deliveries requiring age verification, OioVape is logistics partners will verify the recipient’s age upon delivery and may request valid identification. The Customer is responsible for ensuring that only authorized adults accept the delivery of the products.

8. Site Usage

The Customer agrees not to engage in any conduct that may disrupt or damage the Site, or interfere with other users’ access to the Site. Prohibited activities include but are not limited to: bullying, harassment, or disruptive behavior; posting or transmitting inappropriate, illegal, defamatory, or infringing content; promoting commercial services or products without OioVape is prior written consent; and attempting to gain unauthorized access to the Site’s systems or data.
OioVape reserves the right to block the Customer’s access to the Site, remove any non-compliant content, or cancel orders if the Customer violates these Site Usage terms.

9. User Content

Any content posted, uploaded, or transmitted by the Customer on the Site (including but not limited to reviews, comments, and images) is the sole responsibility of the Customer. OioVape is not liable for any User Content and reserves the right to review, edit, or remove any User Content that violates these Terms or applicable laws, at its sole discretion.

10. Copyright and Trademarks

10.1 Copyright

All content on the Site, including but not limited to text, images, graphics, logos, code, and software, is protected by copyright law. Copyright © [Current Year], OioVape. The Customer may copy or print portions of the Site content solely for the purpose of placing an order with OioVape. Any other use, reproduction, distribution, or modification of the Site content is prohibited without OioVape is prior written permission.

10.2 Trademarks

All OioVape trademarks, logos, and service marks displayed on the Site are the exclusive property of OioVape. The use of these trademarks without OioVape’s prior written permission is strictly prohibited.

11. Third-Party Links

The Site may contain links to third-party websites or services. These links are provided for the Customer’s convenience only, and OioVape does not control or endorse any third-party websites or services. OioVape shall not be liable for any damages or losses arising from the Customer’s use of third-party websites or services.

12. Termination

These Terms shall take effect immediately upon the Customer’s first access to or use of the Site, or upon placement of an order. OioVape may terminate or suspend the Customer’s access to the Site, or terminate these Terms, at any time without prior notice or liability, for any reason including but not limited to a breach of these Terms by the Customer.
Sections of these Terms that by their nature should survive termination (including but not limited to Copyright, Trademarks, Liability Limitation, Indemnification, and Applicable Law) shall remain in effect.

13. Amendments to Terms

OioVape reserves the right to amend these Terms from time to time to reflect changes in legal, operational, or technical requirements. Updated Terms will be published on the Site.  The Customer’s continued use of the Site or purchase of products after the publication of updated Terms constitutes acceptance of the revised Terms.

14. Communications

OioVape may send notices, order confirmations, updates, and other communications to the Customer via email, Site notifications, or other means using the contact information provided by the Customer. The Customer agrees to keep their contact information up to date and acknowledges that communications sent to the provided address shall be deemed received.

15. Indemnification

The Customer agrees to indemnify, defend, and hold harmless OioVape, its directors, officers, employees, and partners from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from: (i) the Customer’s breach of these Terms; (ii) the Customer’s use of the Site or products; (iii) any User Content posted by the Customer; (iv) infringement of third-party rights by the Customer; or (v) any other act or omission of the Customer related to the Site or products.

16. Applicable Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region (HKSAR), China. However, if the Customer is a Consumer, this choice of law shall not deprive the Customer of any mandatory protections afforded by the laws of their country of residence. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
Any disputes arising out of or in connection with these Terms or the contracts between OioVape and the Customer shall first be resolved through amicable negotiations. If negotiations fail, the dispute shall be submitted to the exclusive jurisdiction of the courts of Hong Kong, except where mandatory laws of the Customer’s country of residence require otherwise for Consumers. Claims must be filed within one (1) year from the date the cause of action arises; failure to do so shall result in the Customer’s loss of the right to pursue such claims.

17. Other Provisions

OioVape is failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. OioVape may transfer its rights and obligations under these Terms to a third party without prior notice to the Customer, provided that such transfer does not materially prejudice the Customer’s rights.
If any provision of these Terms is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
